We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

When engaging our services, you agree to:

• Provide accurate, complete, and current information as required
• Maintain the confidentiality of any account credentials or access information

• Cooperate with our team and provide necessary resources and documentation

Specific consulting engagements and professional services are subject to separate written agreements that will define the scope of work, deliverables, fees, and timelines. These Terms serve as a general framework, and any specific service agreements will supersede these general Terms where they conflict. All professional services are provided based on our expertise and industry best practices, but outcomes cannot be guaranteed.

All content on our website, including text, graphics, logos, images, software, and methodologies, is the property of Panache Global Resources and Systems and is protected by intellectual property laws. You may not:

• Reproduce, distribute, or create derivative works from our content without permission
• Use our trademarks, service marks, or branding without authorization
• Reverse engineer or attempt to extract source code from our proprietary systems
• Remove or alter any copyright, trademark, or proprietary notices

Client materials and work product created specifically for clients may be subject to different ownership terms as defined in individual service agreements.

We understand the sensitive nature of financial services information. We maintain strict confidentiality standards and will protect all client information in accordance with industry best practices and applicable laws. Specific confidentiality obligations will be detailed in separate Non-Disclosure Agreements (NDAs) or service contracts. Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law or regulation.

Fees for our services are established in individual service agreements. General payment terms include:

• Fees are quoted in U.S. dollars unless otherwise specified
• Payment terms are typically net 30 days from invoice date
• Late payments may be subject to interest charges as permitted by law
• We reserve the right to suspend services for non-payment
• Expenses incurred on behalf of clients may be billed separately
• Fee adjustments may occur with 30 days' written notice for ongoing services

To the fullest extent permitted by law:

• Panache Global Resources and Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the fees paid by the client for the specific service giving rise to the claim
• We provide services on an "as is" basis and make no warranties, express or implied, regarding outcomes
• We are not responsible for regulatory decisions, enforcement actions, or third-party conduct
• Clients acknowledge that regulatory compliance requires ongoing effort and our services do not guarantee immunity from regulatory scrutiny

You agree to indemnify, defend, and hold harmless Panache Global Resources and Systems, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement. We reserve the right to terminate or suspend access to our services immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to our business, other clients, or third parties. Upon termination, all outstanding fees become immediately due and payable. Provisions regarding confidentiality, intellectual property, and limitation of liability shall survive termination.

In the event of any dispute arising from these Terms or our services:

• Parties agree to first attempt resolution through good faith negotiation
• If negotiation fails, disputes will be resolved through binding arbitration in accordance with the American Arbitration Association rules
• Arbitration shall take place in New York, New York
• Each party shall bear its own costs and fees unless the arbitrator determines otherwise
• The arbitrator's decision shall be final and binding

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in New York, and the parties hereby consent to personal jurisdiction and venue therein.
